This English version is provided for information purposes. In the event of any discrepancy, the French version shall prevail.
1. General clause
Our sales are governed by these terms and conditions, which prevail over any purchase conditions unless we formally and expressly agree otherwise.
2. Confidentiality
Studies, plans, drawings and documents provided or sent by us remain our property; the buyer may not disclose them to third parties for any reason whatsoever.
3. Formation of the contract
Where we issue a quotation, it constitutes special conditions that amend or supplement these terms. An order received from the buyer is only deemed finally accepted after our written acceptance (order confirmation recorded by us), which then constitutes the special conditions. For orders placed on chaisor.com, the contract is formed when the order and payment are validated, as confirmed by email.
4. Delivery – Transport
We deliver worldwide. For orders placed on chaisor.com and delivered to mainland France, shipping is a flat rate of €15 excl. VAT (€18 incl. VAT) per order; small parcels under 5 kg may qualify for a lower rate, shown in the basket. For other destinations and orders on quotation, shipping costs are calculated according to weight, volume, truck floor space and destination. Shipping costs are payable by the customer and shown before the order is confirmed.
Business customers: unless otherwise agreed, delivery is deemed to take place at our factories or warehouses and our prices are ex works. Unless otherwise agreed, the buyer bears the costs and risks of transporting the goods after delivery. If delivery is delayed for reasons beyond our control, it shall be deemed to have taken place on the agreed date.
Private customers: goods travel at the seller’s risk until they are handed over to the customer or to the carrier chosen by the customer. The delivery time is stated when ordering; failing that, delivery takes place no later than 30 days after the order.
5. Retention of title
The seller retains ownership of the goods sold until full payment of the price, principal and ancillary costs. Failure to pay any instalment may lead to the goods being reclaimed. For business customers, these provisions do not prevent the transfer to the buyer, upon delivery, of the risk of loss of or damage to the goods and of any damage they may cause.
6. Prices – Payment terms – Penalties
Prices shown on chaisor.com are in euros, including all taxes, excluding delivery costs. Prices in quotations sent to business customers are stated excluding taxes; whether they are fixed or subject to revision, and their amount, are specified in the special conditions. Unless otherwise agreed, prices are payable in full when ordering.
Business customers: if any instalment is not paid, all other instalments become immediately due, even if bills of exchange have been issued. In accordance with article L441-10 of the French Commercial Code, any late payment automatically gives rise to late-payment penalties calculated on all sums outstanding at a rate equal to three (3) times the French legal interest rate, plus a fixed recovery fee of forty (40) euros, without prejudice to additional compensation on proof.
7. Warranties
CHAISOR commercial warranty: CHAISOR folding chairs are guaranteed for twenty (20) years against any malfunction resulting from a defect in the material, manufacture or design of the frame, when used for their intended purpose. The warranty does not apply:
- if the defective material or design was supplied by the buyer;
- if the malfunction results from unauthorised work on the product;
- if the malfunction results from normal wear and tear (in particular of feet tips, foam and fabrics), or from negligence or lack of maintenance by the buyer;
- if the malfunction results from force majeure.
Under this warranty, the seller will replace free of charge any parts recognised as defective by its technical department. The warranty does not cover labour costs or costs of dismantling, reassembly or transport to the site. Replacement of parts does not extend the warranty period.
Legal warranties (private customers): independently of the commercial warranty, the seller remains bound by the legal warranty of conformity (articles L217-3 et seq. of the French Consumer Code) for two (2) years from delivery of the goods, and by the warranty against hidden defects (articles 1641 et seq. of the French Civil Code), which may be invoked within two (2) years of discovering the defect. Under the warranty of conformity, the consumer may obtain repair or replacement of the goods or, failing that, a price reduction or cancellation of the sale.
8. Right of withdrawal (private customers)
Private customers have fourteen (14) days from receipt of their order to exercise their right of withdrawal without giving any reason, except for goods made to their specifications or clearly personalised (article L221-28 of the French Consumer Code). Details are set out in our refund and returns policy.
9. Automatic termination clause
If a party fails to perform its obligations, this contract shall be automatically terminated in favour of the other party, without prejudice to any damages that may be claimed from the defaulting party. Termination takes effect ten (10) days after a formal notice has remained unanswered.
10. Mediation and disputes
In the event of a dispute, the customer is invited first to contact our customer service at info@chaisor.com to seek an amicable solution.
Private customers: in accordance with articles L611-1 et seq. of the French Consumer Code, consumers may use a consumer mediator free of charge to resolve the dispute amicably. The details of the competent mediator are available on request. Failing agreement, the dispute will be brought before the competent court under ordinary law.
Business customers: any dispute relating to this sale, even in the event of a warranty claim or multiple defendants, shall, failing amicable settlement, fall under the exclusive jurisdiction of the commercial court with jurisdiction over the seller’s registered office.
11. Governing law
These terms and conditions of sale are governed by French law.
